The Ubiquity Consulting Terms of Service (“Terms of Service”) is a legally binding agreement between you (“You” and “Your” and “You’re”) and Ubiquity Consulting.

By using the Ubiquity Consulting service (“Service” and “Service(s)” and “Product”), You are indicating that You have read these terms of use and our privacy policy, money-back guarantee policy, cancellation policy, and delivery policy (collectively the “agreement”) and You understand, and You consent to be bound by, all the terms and conditions of the agreement. These terms of use set forth Your rights and obligations with respect to Your use of any version of Ubiquity Consulting service. Note that this contains provisions that may limit Your rights, such as under the section entitled “Limitation of Liability” and “Disclaimer of Warranties”. Neither Ubiquity Consulting, any content owner or third party licensor, nor their respective directors, officers, employees, agents, contractors, subsidiaries or affiliated companies will be liable for any indirect, incidental, punitive, special, consequential or exemplary damages (even if Ubiquity Consulting or content owners have been advised of the possibility of such damages) or loss of any kind arising from Your use of the Ubiquity Consulting service or from content, information, materials or products included on or otherwise made available to You through the Ubiquity Consulting service, or for any damages in excess of the amount paid for the specific item of content giving rise to the applicable claim for damages.

To the fullest extent permissible by applicable law, in no event shall Ubiquity Consulting, or its future parent or affiliated companies, be liable to You for any personal injury, property damage, lost profits, cost of substitute goods or services, loss of data, loss of goodwill, work stoppage, computer and/or device or technology failure or malfunction or for you form of direct or indirect, special, incidental, consequential, exemplary or punitive damages based on any causes of action arising out of use of the website or any alleged failure of performance, error, omission, interruption, deletion, defect, or delay in service, operation, or transmission of the websites, or any alleged computer virus, communication line failure, theft or destruction of property, and/or unauthorized access to, alteration of, or use of or posting of any record, content, or technology, pertaining to or on the websites. You agree that this Limitation of Liability applies whether such allegations are for breach of contract, tortuous behavior, negligence, or fall under any other cause of action, regardless of the basis upon which liability is claimed and even if the Ubiquity Consulting or future parent or affiliated companies have been advised of the possibility of such loss or damage. Without limiting the generality of the foregoing, You also specifically acknowledge that the Ubiquity Consulting or future parent or affiliated companies are not liable for any actual or alleged defamatory, offensive, or illegal conduct of other users of the websites or any other third parties.

Ubiquity Consulting shall use reasonable efforts to protect personal information submitted by You in connection with the Ubiquity Consulting service and shall use such information in accordance with the privacy policy.

Ubiquity Consulting reserves the right to change any services available and their prices without any notice or liability.

You acknowledge and agree that Your submission of any information is at Your sole risk, and to the maximum amount permitted by law, Ubiquity Consulting hereby disclaims any and all liability to You for any loss or liability relating to such information in any way.

Disclaimer of Warranties

Ubiquity Consulting and its directors, officers, employees, agents, contractors, subsidiaries or affiliated companies attempt to be as accurate as possible. However, Ubiquity Consulting does not warrant that product or service descriptions, other content of this website, or its services performed for its clients, customers, or contractors are accurate, complete, current, error-free, or reliable.

Intellectual Property

Ubiquity Consulting website (“Website”), including all contents, features, and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by Ubiquity Consulting, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Service grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Website. You may access the material on the Website only for Your own personal, non-commercial use. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Website, except as incidental to normal web browsing, such as the making of temporary copies in RAM or the cache of your Internet browser, and for features of the Website that enable sharing via e-mail, social media, linking, and other platforms expressly enabled by the Website. With respect to our mobile applications, You may download a single copy to each of your mobile devices solely for Your own personal, non-commercial use, provided you agree to be bound by these Terms of Service.

You must not:

  • Modify copies of any materials from the Website.

  • Use any illustrations, photographs, video or audio sequences or any graphics separately from the accompanying text.

  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Website.

  • Reverse-engineer or otherwise attempt to steal the software code of the Websites.

Any use of the Websites not expressly permitted by these Terms of Service is a breach of these Terms of Service and may violate copyright, trademark, and other laws.

Advertising Content

The Website may present advertisements for or links to third party websites, products, and/or services (“Third Party Ads”). Ubiquity Consulting is not responsible for the availability of these Third Party Ads, or the images, messages, or other materials contained therein. Neither Ubiquity Consulting nor any of its affiliates will be liable for any errors in content or omissions in any Third Party Ads, nor responsible for any losses or damages of any sort incurred as a result of your participation with, us of, or reliance on the Third Party Ads, include any goods, products, or services offered by such Third Party Ads.

Price and Payment

Prices are quoted in US Dollars (USD) unless otherwise stated. You must pay in the currency in which the Product or Service price is quoted or is selected. If You do not hold an account in the relevant currency You may pay by debit or credit card (or any other method that Ubiquity Consulting may introduce from time to time) and Your card company should exchange the amount charge to the currency of Your country at their current rate.

Payment may be required before the Product or Service is provided and, if not, payment is due from the moment the Order is accepted. After You have submitted your Order, Ubiquity Consulting may take and shall be entitled to receive such payment as is due in respect of the Order.

Payment may be made by credit card, debit card or any other such method as Ubiquity Consulting may introduce at its absolute discretion.

Ubiquity Consulting reserves the absolute right to accept or refuse any payment made in any form. Ubiquity Consulting and its affiliates also reserve the right to limit quantities, to request payment prior to delivery of service, to refuse service, or to cancel any orders at its discretion.

We aim to debit money from Your account within three working days after receiving Your Order.

You will not be charged for any Orders that cannot be fulfilled and where appropriate Ubiquity Consulting will refund to Your account any sum deducted by Ubiquity Consulting. Cancellation of any order by You, client, or customer may incur cancellation costs depending on how much work has been done on the document.

Ubiquity Consulting cannot guarantee that a particular Product or Service will always be available. Purchase prices and invoices may be based on information that You provide to us, including the word count of the documents you are submitting for service. You represent and warrant that such information is accurate, and you agree to pay Ubiquity Consulting any additional charges arising from any inaccuracy of such information within seven days of notification thereof. Ubiquity Consulting is not obligated to verify the accuracy of such information but will refund over-payments arising from inaccuracy therein within five business days of the discovery thereof.

Ubiquity Consulting may, at its sole discretion, offer monthly invoicing arrangements to regular business and personal customers or clients and agree to additional or modified terms for such arrangements. Unless otherwise agreed to in writing, payment is due within five business days when an invoice is rendered. Payments greater than 30 days past due may be subject to administrative charges of up to $50 (USD) and interest at a rate of 1.5% per month (19.56% APR).

To maximize security, Ubiquity Consulting does not hold any credit/debit card details. They are held by third party payment providers.

Your credit card company may also do security checks to confirm it is you making the Order.

Your statutory rights are unaffected by these Terms of Service.

Customer and Member Agreements

If You do not provide accurate contact information, or if You do not respond promptly if Ubiquity Consulting requires further information, Ubiquity Consulting cannot be responsible for delays in providing the service.

If You create an account, a login ID and password will be required. It is Your responsibility to protect that information, including without limitation, to use effective password which are not easily guessed, identifiable, or discoverable, and keep login ID and passwords confidential. You are responsible for any activity that occurs under your login ID. You will advise Ubiquity Consulting immediately if you discover any compromise of Your passwords or suspect unauthorized use of the Website using Your identity.

Following United States and international privacy regulations, as well as our constant commitment to protecting Your confidentiality and security of Your documents, access to completed files is restricted to six months. Please do not consider your User Account on our Website a file storage platform. Please download and externally save Your completed files within six months of Your order’s completion. After this time, a fee of $25 (USD) will be charged for the recovery of a completed file.

Electronic Communications

When You visit Ubiquity Consulting’s Website or send e-mails to us, You are communicating with us electronically. You consent to receive communications from us electronically. Ubiquity Consulting will communicate with You by e-mail or by posting notices on the Website. You agree that all agreements, notices, disclosures, and other communications that we provide to You electronically satisfy any legal requirements that communications be in writing.

Termination

You’re free to stop using our Product and Service at any time. We reserve the right to suspend or terminate your access to the Product or Service with notice to you if:

  1. you’re in breach of these Terms of Service,
  2. you’re using the Product or Service in a manner that would cause a real risk of harm or loss to us or other users, or
  3. you don’t have a Paid Account and haven’t accessed our Product or Service(s) for 12 consecutive months.

Ubiquity Consulting will provide you with reasonable advance notice via the e-mail address associated with Your account to remedy the activity that promoted us to contact You and give You the opportunity to export Your documents from our Website. If after such notice You fail to take the steps we ask of You, we’ll terminate or suspend your access to the Product or Service.

We won’t provide notice before termination where:

  1. you’re in material breach of these Terms of Service,
  2. doing so would cause us legal liability or compromise our ability to provide the Product or Service(s) to our other users, or
  3. where Ubiquity Consulting is prohibited from doing so by law.

Modifications

Ubiquity Consulting may revise these Terms of Service from time to time to better reflect:

  1. changes to the law,
  2. new regulatory requirements, or
  3. improvements or enhancements made to our Product or Service(s).

If an update affects Your use of the Product or Service(s) or Your legal rights as a user of our product or Service(s), Ubiquity Consulting will notify you prior to the update’s effective date by sending an e-mail to the e-mail address associated with Your account or via an in-product notification. These updated terms will be effective no less than 30 days from when we notify You.
